Better Information. Better Commercial Decisions.

International energy, infrastructure, and industrial projects often depend upon organizations that have never worked together before. Before significant capital, contractual responsibility, project schedules, or reputations are committed, decision-makers need more than a capability statement and a collection of supporting documents.

CLM Consulting provides commercial and operational due diligence, vendor and counterparty assessment, quality and operational review, supplier identification, and commercial facilitation. Sometimes the client needs to know whether the company they have found is the right one. Sometimes they need help finding the right company in the first place.

CLM can assist with both.

01

Commercial & Operational Due Diligence

Look Beyond the Documentation.

A prospective company may be legally established, possess appropriate certifications, provide professional documentation, and demonstrate relevant experience—and still present commercial or operational risks that are not immediately apparent.

CLM conducts independent reviews of prospective vendors, contractors, suppliers, counterparties, and project participants to help clients understand the organization they are considering doing business with.

Depending upon the scope of the engagement, our review may examine:

  • Corporate and commercial information
  • Organizational structure
  • Management and key personnel
  • Relevant project and performance history
  • Stated capabilities and available resources
  • Certifications and supporting documentation
  • Supplier and subcontractor relationships
  • Procurement and supply-chain arrangements
  • Quality-management systems
  • Proposed execution methodology
  • Project schedules and milestones
  • Commercial representations and assumptions
  • Documentation consistency
  • Identifiable operational and counterparty risks

The objective is not simply to verify individual pieces of information. The objective is to determine whether the complete picture is consistent with the company's representations and the requirements of the proposed undertaking.

02

Vendor & Counterparty Assessment

Does the Story Hold Together?

Websites, corporate profiles, capability statements, project lists, certifications, references, and proposals all tell part of a company's story. CLM examines how those pieces fit together.

Our assessment process is designed to identify information that warrants additional examination.

Depending upon the scope of the engagement, our review may examine:

  • Corporate registration and ownership structure
  • Stated experience and relevant project history
  • Consistency between capability claims and available evidence
  • Key personnel and management depth
  • Certifications, accreditations, and supporting documentation
  • Supplier and subcontractor relationships
  • Commercial representations and contractual assumptions
  • Identifiable inconsistencies or unanswered questions

The assessment is not designed to find fault. It is designed to determine whether the available evidence supports the decision the client is being asked to make.

03

Quality & Operational Review

Documentation Alone Is Not Evidence of Capability.

Quality certifications and management-system documentation describe what a company says it does. An operational review examines whether the organization actually functions that way.

CLM conducts independent quality and operational reviews to help clients understand whether a prospective supplier or contractor's quality systems, operational practices, and stated capabilities are consistent with the requirements of the proposed undertaking.

Depending upon the scope of the engagement, our review may examine:

  • Quality-management systems and certification status
  • Documented procedures and actual operational practices
  • Inspection, testing, and verification processes
  • Non-conformance and corrective-action records
  • Workforce competency and supervision arrangements
  • Equipment, tooling, and facility adequacy
  • Subcontractor and supplier quality controls
  • Consistency between documented systems and observed practice

A quality certificate confirms that a system was assessed at a point in time. It does not confirm that the system is functioning as described today, or that it is adequate for the specific requirements of the proposed engagement.

04

Supplier Identification

Finding the Right Source.

Not every client arrives with a supplier already identified. Some need help finding prospective sources that may be capable of meeting their requirements.

CLM can assist clients in identifying prospective suppliers, contractors, or commercial partners that may be positioned to address their requirements.

Depending upon the scope of the engagement, this may include:

  • Defining the capability, qualification, and documentation requirements
  • Identifying prospective sources in relevant markets or geographies
  • Conducting preliminary assessments of identified candidates
  • Evaluating commercial, operational, and logistical fit
  • Narrowing the field to sources warranting further consideration
  • Supporting initial commercial discussions or introductions

Finding a supplier is not the same as finding the right supplier. CLM's role is to help the client move toward a more informed decision, not simply a faster one.

05

Corrective Action & Vendor Development

When Concerns Can Be Addressed.

Not every unfavorable assessment means a relationship should end. Some identified concerns can be addressed through structured corrective action.

Where a vendor or supplier has demonstrated capability but presents identifiable gaps or deficiencies, CLM can assist in defining a corrective path and supporting its implementation.

Depending upon the scope of the engagement, this may include:

  • Identifying specific documentation, process, or operational deficiencies
  • Defining corrective-action requirements and acceptance criteria
  • Supporting the development of corrective-action plans
  • Monitoring implementation progress against agreed requirements
  • Conducting follow-up reviews to verify corrective actions
  • Distinguishing between correctable deficiencies and material commercial or operational risks

The distinction between a correctable deficiency and a disqualifying risk matters. CLM's role is to help the client understand which they are dealing with—and what an appropriate response looks like.

06

Additional Service

Alternative Supplier Support

When the Original Choice Isn't the Right Choice.

An unfavorable vendor assessment does not necessarily mean the underlying requirement or project should stop.

Sometimes it simply means a different source is needed. If a prospective supplier, contractor, or commercial partner cannot adequately address identified concerns—or does not demonstrate the capability required for the proposed undertaking—CLM can help the client determine an appropriate path forward.

That may begin by refining the requirement.

  • What capability is actually needed?
  • What qualifications are essential?
  • What documentation should be required?
  • What commercial, operational, quality, geographic, or logistical conditions must a prospective supplier satisfy?

Once those requirements are clearly understood, CLM can assist in identifying alternative prospective suppliers or commercial resources that may be better positioned to address them.

Depending upon the engagement, CLM may:

  • Refine supplier qualification criteria
  • Identify required capabilities and documentation
  • Review alternative prospective sources
  • Conduct preliminary vendor assessments
  • Evaluate relevant operational and quality capabilities
  • Identify potential commercial or execution risks
  • Facilitate introductions to prospective suppliers
  • Support initial commercial discussions
  • Conduct further due diligence before commitment

Where CLM has an existing commercial, representative, referral, or other material relationship with a prospective supplier, that relationship should be disclosed to the client.

The distinction matters.

Our objective is not to replace one questionable supplier with another. It is to help the client move from an identified problem toward a more credible commercial solution.

Assess. Correct. Replace When Necessary.

Where concerns can reasonably be corrected, CLM can help define the corrective path.

Where they cannot, CLM can help identify alternatives.

And before an alternative becomes the client's next commitment, it should withstand appropriate scrutiny as well.

The goal is not simply to find another supplier. The goal is to find a supplier worth committing to.

Where Does CLM Enter the Process?

The engagement begins wherever the client's question begins.

CLM's services are not limited to a single point in the commercial process. The need for independent assessment can arise before a commitment is made, during an engagement, or after concerns have already emerged.

01

You Already Have a Prospective Vendor

You have identified a supplier, contractor, vendor, or commercial partner and need greater confidence before moving forward. CLM can review the organization's representations, supporting documentation, relevant experience, capabilities, operational readiness, and other available information to identify inconsistencies, unanswered questions, or areas of potential risk.

Does the available evidence support proceeding with this organization?

02

Something Doesn't Add Up

Perhaps the documentation appears complete, but certain representations seem inconsistent. A project history does not align with the stated capability. The proposed supply chain is unclear. Certifications raise additional questions. Or the company's resources do not appear consistent with the scale of the opportunity. CLM can focus the review on those areas and help determine whether the concern has a reasonable explanation—or warrants further examination.

Experience changes what you notice.

03

The Vendor May Be Capable, But Improvements Are Required

Not every deficiency means the prospective vendor should be rejected. Where the underlying organization appears capable but documentation, processes, controls, or other requirements are deficient, CLM can help identify what needs to be clarified, corrected, strengthened, or independently verified before proceeding.

This allows the client to distinguish between a correctable deficiency and a material commercial or operational risk.

04

You Need a Credible Source

Sometimes there is no prospective vendor yet—or the one identified is not the right one. CLM can assist in identifying prospective sources, conducting preliminary assessments, and helping the client move toward a more informed commercial decision.

Finding a supplier is not the same as finding the right supplier.

05

The Project Is Already Underway

Due diligence does not always happen before a commitment is made. Sometimes concerns emerge after a contract is signed, a supplier is engaged, or a project is in progress. CLM can conduct reviews at any stage—helping clients understand what they are dealing with and what options remain available to them.

It is better to understand the problem clearly than to proceed without that understanding.

Verify. Assess. Decide.

  • At any stage of the commercial process.
  • For any type of vendor, supplier, or counterparty.
  • With findings reported to the client without modification.

Independence & Transparency

CLM's responsibility is to the integrity of the assessment. Where CLM has a financial, referral, representative, or other material commercial relationship relevant to a prospective supplier or transaction, that relationship is disclosed to the client. Our clients should understand whether CLM is acting as an independent advisor, a commercial facilitator, or both.
